Website & Tool Terms
These terms cover the AuditPartners website, public tools and resources. Professional assessments and internal audits are governed by their engagement agreements.
1. Using this website
By accessing or using this website, you agree to these Website & Tool Terms. If you do not agree, do not use the website or tools. The Privacy Policy describes information handling.
Reading content, downloading a template, using a self-assessment, subscribing to updates or submitting an inquiry does not establish a professional-client relationship or an engagement to test your controls.
2. Free tools and informational resources
Checklists, templates, guides, the free AI Governance QuickScan and the gap self-assessment provide preliminary information to help you organize questions and possible next steps. They are not an audit, certification, security scan, legal advice or a compliance conclusion.
- Self-reported answers are not evidence that a control is implemented or operates effectively. A completed checklist or methodology workbook is not proof of tested customer controls.
- A tool does not inspect your systems or validate your evidence. Missing, unknown or incomplete information limits the usefulness of its observations.
- AI-generated replies in the gap self-assessment can be inaccurate, incomplete or outdated. Do not rely on them alone for legal, security, contractual or compliance decisions.
- Fictional examples illustrate an approach; they are not customer findings or verified outcomes.
Use qualified professional advice appropriate to your circumstances before acting on informational material. See the full Disclaimer for additional limits.
3. Professional assessments and internal audits
AuditPartners delivers professional assessments and internal audits under an engagement letter, statement of work or engagement agreement. Its terms prevail over these website terms for that engagement, including scope, fees, confidentiality, evidence handling and deliverables.
Qualified professionals review our work and make the final assessment conclusions. Reports explain what was reviewed, what was found and where missing records limit an answer.
Our engagements can produce assessment reports and internal audit findings. AuditPartners is not a CPA firm or a certification body and does not issue financial audit opinions, SOC reports or certificates. CPA firms lead SOC examinations and issue their reports; certification bodies decide certification.
No service or resource guarantees compliance, certification, auditor acceptance, a particular result or the elimination of risk.
4. Service inquiries and consultations
A request to discuss our services is an inquiry. It does not include control testing or an assessment conclusion, and it does not create an engagement. Use it to tell us your framework, concerns and deadline so we can discuss the work you need.
AuditPartners no longer offers a separately bookable fixed-price consultation through this website, and no payment is taken on this website. Any consultation that was requested or confirmed before this change continues to be governed by its confirmation email or engagement terms and applicable law. Talk to us.
5. Permitted use and session access
Use the website and tools lawfully. Provide information you are authorized to share, and keep public forms and tools free of confidential evidence, credentials, secrets and sensitive personal data.
- Do not attempt unauthorized access to systems, private results or another user's session.
- Do not introduce malicious code, impersonate another person, overload the service or bypass rate limits and access controls.
- Keep assessment tokens and resume links private. Do not share them with people who should not access your assessment information.
Tools may be rate-limited, changed, interrupted or suspended to protect availability and security. Public resources do not create an obligation to maintain a tool indefinitely.
6. Templates and intellectual property
Unless a resource states otherwise, you may download and adapt free templates and checklists for your own organization's internal use. Keep any source notices and limitations with the materials. This permission does not authorize resale, commercial redistribution or republishing the materials as your own product.
Other website content, methodologies, software, names and logos remain subject to applicable intellectual-property rights. No ownership transfer or license to proprietary technology is granted by visiting the site. Third-party standards and materials remain subject to their own rights and license terms.
The engagement terms govern materials you provide for professional work. Website access does not grant others ownership of your materials.
7. Disclaimer of warranties
The website and public content and tools are provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, to the fullest extent permitted by applicable law. This includes implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the website will be uninterrupted, secure, error-free, complete or current, or that informational or AI-generated results will be accurate or reliable. The applicable engagement terms govern professional work.
8. Limitation of liability
To the maximum extent permitted by applicable law, AuditPartners and its members, managers, officers, employees, agents, contractors, affiliates and licensors shall not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, revenue, goodwill, data or business opportunities, arising from use of or inability to use the website, third-party content, or unauthorized access to transmissions or content, under any legal theory.
Aggregate liability for claims relating to the website or these terms shall not exceed the greater of the amount you paid to AuditPartners in the twelve months preceding the claim or $100. These limitations survive termination. Some jurisdictions do not allow certain exclusions or limits, so these provisions may not apply to you in full. An applicable engagement agreement controls liability for that engagement.
9. Indemnification and confidentiality
You agree to indemnify, defend and hold harmless AuditPartners and its representatives against claims, losses, costs and reasonable attorneys' fees arising from your use of the website in violation of these terms, infringement of another party's rights or unlawful content you submit, to the extent permitted by law.
Each party agrees to use reasonable care for confidential information received from the other. This does not apply to information that is public through no fault of the receiving party, previously known, independently developed or required to be disclosed by law. Engagement-specific confidentiality obligations are set out in the engagement agreement. Do not use public tools as a channel for confidential engagement evidence.
10. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Delaware. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
You and AuditPartners each waive the right to a trial by jury and the right to participate in a class action, collective action, or representative proceeding. You agree that you may bring claims against AuditPartners only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
11. Changes, termination and general provisions
We may suspend or terminate website access for breaches of these terms or security concerns. Provisions that by their nature survive termination, including intellectual property, warranty disclaimers, liability limits and dispute resolution, continue to apply.
If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These terms and applicable engagement agreements comprise the agreement for their respective scope; the Privacy Policy explains information handling.
We reserve the right to update these terms. For a material revision, we will provide at least thirty days' notice by posting updated terms before they take effect. Continued use after the change takes effect constitutes acceptance.
